Publishing Agreement

This Agreement (“Agreement”) is made between 101Publish LLC, a hybrid publishing and marketing company (“Publisher”), and the Author, the individual or entity who owns the rights to the book being published. By entering into this Agreement, both parties agree to the following terms and conditions:

  • The Author retains 100% of the rights to the book, including all intellectual property rights, copyrights, and trademarks associated with the work.
  • The Publisher does not claim ownership over the content or any derivative works produced by the Author, except as necessary to fulfill the obligations of this Agreement.
  • The Author shall receive 80% of the net revenue generated from the sales of the book in all formats, including but not limited to print, eBook, and audio formats.
  • The Publisher will retain 20% of the net revenue from book sales as compensation for publishing and marketing services.
  • Net revenue is defined as the amount received by the Publisher after any applicable distribution fees, taxes, or other deductions from third-party platforms and vendors.
  • The royalties from book sales will be deposited into the Author’s designated bank account every 6 months.
  • The Author agrees to work exclusively with 101Publish LLC for the publishing and marketing of the book for the duration of this Agreement.
  • The Author shall not engage or contract with any other publisher, marketing firm, or service provider for the marketing, promotion, or distribution of the book without prior written consent from 101Publish LLC.
  • The Author may, however, work with other publishers if they choose to republish the book after the end of two years from the date of this Agreement or after the termination of this Agreement, except in the case of a traditional publisher who wishes to acquire the rights to the book. In such a case, the traditional publisher must first obtain approval from 101Publish LLC before proceeding with the acquisition of rights.
  • After two years from the date of this Agreement or upon termination of the Agreement, the Author is permitted to republish their book with another hybrid publisher or choose to self-publish.
  • The Author agrees that any agreement with another publisher, hybrid or self-publisher, will not conflict with the ongoing obligations of this Agreement for the first two years.
  • The Author may enter into an agreement with a traditional publisher at any time, should the traditional publisher wish to acquire the book.
  • The Publisher will handle the publishing and marketing efforts associated with the book, including:
    • ISBN registration.
    • Formatting and design (cover, interior layout, etc.).
    • Distribution setup with selected retail partners.
    • Marketing campaigns and promotional activities (subject to the terms of the Agreement).
  • The Publisher agrees to provide regular reporting on book sales and revenue generation, with detailed breakdowns of royalties owed to the Author.
  • Either party may terminate this Agreement with written notice, subject to any ongoing obligations under this Agreement.
  • If terminated, the Author may republish their book as specified under the terms outlined in Section 4. Upon termination, any outstanding royalties or fees owed to the Author will be paid within 60 days.
  • The Publisher is not liable for any indirect, incidental, or consequential damages arising from the distribution, promotion, or sale of the book.
  • The Author agrees to indemnify and hold harmless 101Publish LLC against any claims, losses, or liabilities that may arise from the content of the book or its use in any medium.
  • This Agreement is governed by the laws of the state in which 101Publish LLC is incorporated and any disputes will be handled in the appropriate courts of that jurisdiction.
  • If any part of this Agreement is found to be invalid, the remainder of the Agreement will remain in full force and effect.
  • Both parties agree to keep the terms of this Agreement confidential, except as necessary to fulfill the obligations of this Agreement.

By signing below, both parties acknowledge that they have read and understood the terms and conditions of this Agreement, and agree to be bound by them.

This Agreement is effective as of the date signed by both parties.
